End User License Agreement
End User License Agreement for NestPlug
Version 1.0. Effective: October 1, 2026
This End User License Agreement (“Agreement”) is a legal agreement between you (an individual or a single legal entity, “Licensee”) and NestPlug (“Licensor”) governing the NestPlug software, including its plugin for Adobe Illustrator, its activation system, and related updates (collectively, the “Software”).
By purchasing, installing, or activating the Software, you agree to be bound by this Agreement. If you do not agree, do not purchase, install, or activate the Software.
1. License Grant
Subject to this Agreement, Licensor grants Licensee a perpetual, non-exclusive, non-transferable license (except as stated in Section 4) to install and use one (1) copy of the Software on one (1) device at a time, for personal or commercial work (including client work and resale of artwork created with the Software).
The Software is licensed, not sold. Ownership of the Software and all intellectual property rights remains with Licensor.
2. Activation and Device Binding
The Software uses server-based activation tied to a single device (“seat”) per license key:
- At activation, the Software sends a cryptographic hash of device identifiers to the licensing server. The underlying identifiers never leave the device. See the Privacy Policy for details.
- A license key can be active on one device at a time. Attempting to activate on a second device while the first is active will be declined until the first device is deactivated.
- Re-activating on the same device (for example, after reinstalling the operating system or the Software) is always permitted and free.
- Reasonable device changes (for example, replacing hardware) are handled automatically by the licensing server where possible; beyond that, contact support and the seat will be moved.
3. Internet Connection Requirement
Please read this section before purchasing. The Software requires an internet connection:
- Once, to activate;
- Thereafter, at least once every fourteen (14) days to re-verify the license.
If the device has been offline longer than fourteen (14) days, nesting and apply functions are paused until the device reconnects to the internet. Reconnecting restores full functionality automatically: no action, re-entry of keys, or fee is required, and no work is lost. The Software does not require a connection for any other function, and artwork created with the Software is never affected by license state.
4. Transfer and Deactivation
Licensee may move the license to a different device at any time by choosing “Deactivate this device” in the Software, which frees the seat for activation elsewhere. Where mandatory local law grants additional transfer rights (for example, certain jurisdictions recognize the right to resell perpetual software licenses), those rights are unaffected; contact legal@nestingplugin.com to exercise them and the licensing server will cooperate.
5. Restrictions
Licensee shall not, and shall not permit any third party to:
- Copy the Software except as necessary for installation, backup, or use under this Agreement;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent applicable law expressly permits this despite this limitation;
- circumvent, disable, tamper with, or otherwise defeat the activation, licensing, or verification mechanisms of the Software, or distribute tools or instructions intended to do so. Such acts may also violate the U.S. Digital Millennium Copyright Act (17 U.S.C. § 1201) and equivalent anti-circumvention laws in other jurisdictions;
- Sublicense, rent, lease, lend, or share license keys;
- Remove or alter any proprietary notices or the licensing server communication of the Software.
6. Termination
This Agreement terminates automatically if Licensee breaches any of its terms. Upon termination, Licensee must deactivate and delete all copies of the Software. A refund of the purchase price revokes the associated license automatically. Sections 5, 7, 8, 9, and 10 survive termination.
7. Updates
Licensor may provide updates, which form part of the Software and are subject to this Agreement. Licensor may discontinue support for older versions; material changes to the licensing model described here will be announced before they affect an active license.
8. Refunds
Refunds are governed by the Refund Policy, incorporated into this Agreement by reference.
9. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT THE LICENSING SERVER WILL BE AVAILABLE AT ALL TIMES.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY LICENSEE FOR THE SOFTWARE. IN NO EVENT SHALL LICENSOR BE LIABLE FOR LOST PROFITS OR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
11. Governing Law
This Agreement is governed by the laws of the State of Arizona, United States, excluding its conflict-of-law rules, except where mandatory consumer protection law of Licensee’s country of residence applies. Nothing in this Agreement excludes rights that cannot be excluded under applicable consumer law.
12. Changes to This Agreement
Licensor may update this Agreement. Material changes will be announced by email to the address associated with the license and on the website at least fourteen (14) days before taking effect. Continued use after the effective date constitutes acceptance. No change may retroactively remove the core license rights granted in Sections 1 through 4 for copies already purchased.
